Terms of Service

1. Introduction and acceptance of terms

These Terms of Service (the Terms) govern the provision of services by Greenfield Livestock Partners Ltd (company address: Greenfield Livestock Partners Ltd, 18 Market Street, Bingley, West Yorkshire, BD16 2HP, UK) to any customer, client, or other person engaging our services (the Client, you, or your).

By instructing, booking, purchasing, or otherwise using any services provided by Greenfield Livestock Partners Ltd, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply together with any written quotation, service schedule, order confirmation, or other agreement issued by Greenfield Livestock Partners Ltd. If there is any inconsistency, the written quotation or order confirmation shall prevail to the extent of the inconsistency, unless expressly stated otherwise.

2. Scope of services

Greenfield Livestock Partners Ltd provides livestock-related commercial support services, which may include:

• Livestock sourcing and procurement;
• Herd and flock management support;
• Animal transport coordination;
• Health and welfare compliance advice;
• Weaning, sorting, and handling services;
• Breeding stock selection guidance; and
• Farm-to-market livestock logistics.

Any services provided will be limited to those expressly agreed in writing, orally confirmed and subsequently evidenced, or set out in a quotation, invoice, or service order issued by Greenfield Livestock Partners Ltd.

Unless expressly agreed in writing, we do not act as a veterinary surgeon, insurer, auctioneer, legal adviser, or financial adviser. Any health, welfare, transport, or compliance-related information provided by us is general in nature and does not replace advice from a qualified professional or statutory authority.

We will use reasonable skill and care in delivering our services, consistent with applicable UK law and industry practice. However, livestock-related activities involve inherent risks, including animal behaviour, disease, transport delays, weather conditions, market fluctuations, and regulatory requirements, which may affect outcomes.

3. User obligations and responsibilities

You agree that you will:

• Provide accurate, complete, and timely information relevant to the services requested;
• Ensure that all livestock, premises, equipment, and facilities made available in connection with the services are safe, suitable, and legally compliant;
• Obtain and maintain all licences, permissions, consents, registrations, and approvals required for your operations, unless we have expressly agreed in writing to obtain them on your behalf;
• Comply with all applicable laws, regulations, codes of practice, and welfare standards, including those relating to animal health, identification, movement, transport, traceability, and biosecurity;
• Ensure that animals are fit for transport, handling, movement, or sale, as applicable, and disclose any known illness, injury, behavioural issues, medication, or welfare concerns;
• Provide suitable access, loading/unloading arrangements, and cooperation necessary for the performance of the services;
• Promptly notify us of any issue, incident, complaint, or change that may affect service delivery; and
• Not use our services for any unlawful, fraudulent, negligent, or unsafe purpose.

You are responsible for the decisions you make based on our services, including purchasing, selling, moving, handling, or managing livestock. Where we provide recommendations or guidance, you remain responsible for final decisions and for ensuring compliance with applicable law.

You shall indemnify Greenfield Livestock Partners Ltd against losses, liabilities, claims, costs, and expenses arising from your breach of these Terms, your negligence, your unlawful acts or omissions, or your failure to provide accurate information.

4. Payment terms and conditions

Fees for services will be as set out in our quotation, service agreement, invoice, or other written confirmation. Unless otherwise stated, all fees are exclusive of VAT and any other applicable taxes, duties, levies, or charges, which shall be payable by you in addition to the stated fees.

Unless otherwise agreed in writing:

• Invoices are payable within 14 days of the invoice date;
• We may require advance payment, a deposit, or staged payments for certain services;
• Time is of the essence for payment;
• We may suspend or withhold services if payment is overdue;
• We may charge interest on late payments at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998, together with reasonable recovery costs; and
• You are not entitled to set off or withhold payment unless required by law or agreed in writing by Greenfield Livestock Partners Ltd.

Any estimates provided are based on information available at the time and may change if the scope of work, market conditions, transport costs, animal condition, regulatory requirements, or other relevant factors change.

If payment is made by card, bank transfer, or other electronic method, you are responsible for ensuring that the payment is authorised and cleared. We are not responsible for bank charges, currency conversion charges, or intermediary fees incurred by you.

5. Cancellation and refund policy

You may cancel a booked service by giving written notice to Greenfield Livestock Partners Ltd. Cancellation charges may apply depending on the stage of preparation, resources allocated, third-party commitments, and any non-recoverable costs already incurred.

Unless otherwise stated in a written agreement:

• Deposits are non-refundable where work has commenced or where third-party costs have been incurred;
• If you cancel less than 7 days before the scheduled service date, you may be liable for a cancellation fee of up to 100% of the agreed service fee, depending on the circumstances and costs incurred;
• Where services have been partially performed, you must pay for all work completed and expenses reasonably incurred up to the date of cancellation;
• Refunds, if any, will be limited to amounts paid for services not yet performed and not otherwise committed to third-party costs; and
• No refund will be due for services properly delivered in accordance with these Terms.

If a service is cancelled or delayed due to your failure to provide access, information, cooperation, or a suitable environment, this will be treated as a cancellation by you and the relevant charges may still apply.

Nothing in this section affects any statutory rights you may have under applicable UK law, including rights relating to services not provided with reasonable care and skill.

6. Liability limitations

Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by negligence;
• Fraud or fraudulent misrepresentation;
• Any liability that cannot lawfully be excluded or limited under UK law; or
• Your statutory rights as a consumer, where applicable.

Subject to the above, Greenfield Livestock Partners Ltd shall not be liable for:

• Loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, or business interruption;
• Indirect, consequential, special, or punitive losses;
• Loss or damage arising from inaccurate or incomplete information provided by you or a third party;
• Losses caused by livestock behaviour, illness, injury, mortality, transport delays, weather events, market movements, or regulatory intervention, unless directly caused by our negligence or wilful misconduct;
• Any failure or delay caused by third-party carriers, suppliers, markets, auctioneers, laboratories, vets, or authorities; or
• Any loss arising from your failure to comply with applicable animal welfare, transport, traceability, or biosecurity requirements.

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total fees paid or payable by you to Greenfield Livestock Partners Ltd for the specific service giving rise to the claim, except where a higher limit is expressly agreed in writing.

You acknowledge that livestock services involve inherent risks and that outcomes may be affected by factors outside our reasonable control. We do not guarantee any particular commercial result, animal performance, breeding outcome, market price, or transport schedule.

7. Intellectual property rights

All intellectual property rights in our website, documents, templates, reports, checklists, methodologies, branding, logos, written materials, and service content created or supplied by Greenfield Livestock Partners Ltd remain our property or the property of our licensors, unless expressly agreed otherwise in writing.

Subject to your payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use any deliverables we provide solely for your internal business purposes and only in connection with the services supplied.

You must not copy, reproduce, distribute, adapt, reverse engineer, publish, or commercially exploit our materials without our prior written consent, except to the extent permitted by law.

If you provide us with materials, data, photographs, records, or other content, you grant Greenfield Livestock Partners Ltd a non-exclusive licence to use, reproduce, store, and process such materials as reasonably necessary to provide the services and comply with legal obligations.

8. Data protection and privacy

Greenfield Livestock Partners Ltd will process personal data in accordance with applicable UK data protection laws, including the UK General Data Protection Regulation and the Data Protection Act 2018.

We may collect, use, store, and disclose personal data for purposes including:

• Providing and managing our services;
• Processing payments and issuing invoices;
• Maintaining business records and compliance documentation;
• Communicating with you about service arrangements, updates, and issues;
• Meeting legal, regulatory, tax, accounting, and insurance obligations; and
• Preventing fraud, misuse, or unlawful activity.

We may share personal data with trusted third parties where necessary for service delivery, including transport providers, veterinarians, laboratories, insurers, accountants, IT providers, and regulatory bodies, subject to appropriate safeguards.

You are responsible for ensuring that any personal data you provide to us has been collected and shared lawfully. Where we act as a data processor for you, the parties may agree separate data processing terms if required.

Further information about how we handle personal data may be provided in a separate privacy notice. If there is any inconsistency between these Terms and a privacy notice, the privacy notice will prevail in relation to data protection matters.

9. Force majeure

Greenfield Livestock Partners Ltd shall not be liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond our reasonable control, including but not limited to:

• Extreme weather, flood, fire, storm, or natural disaster;
• Disease outbreaks, quarantine restrictions, or biosecurity incidents;
• Transport disruption, road closures, accidents, or fuel shortages;
• Industrial action, labour shortages, or supply chain disruption;
• Failure of utilities, telecommunications, or third-party systems;
• Government action, regulatory change, or legal restrictions; and
• War, terrorism, civil unrest, or public emergency.

Where a force majeure event occurs, we may suspend performance for the duration of the event and will use reasonable efforts to resume services as soon as practicable. If the event continues for a prolonged period, either party may terminate the affected services by written notice, without liability for failure to perform during the force majeure period, subject to payment for services already provided and costs already incurred.

10. Changes to terms

We may update or amend these Terms from time to time to reflect changes in our services, legal requirements, operational practices, or business needs. The updated Terms will take effect from the date stated in the revised version or, if no date is stated, upon publication or notification to you.

If you continue to use our services after the updated Terms take effect, you will be deemed to have accepted the revised Terms. If you do not agree to the revised Terms, you should stop using our services and notify us in writing.

Any amendment to these Terms must be in writing and authorised by Greenfield Livestock Partners Ltd, unless we expressly state otherwise.

11. Applicable law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory consumer rights or statutory protections that apply under UK law.

Notices should be sent by email or by post to the contact details above. Notices will be deemed received in accordance with applicable law and normal business practice.

13. Severability clause

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the relevant provision shall be severed from these Terms.

The validity and enforceability of the remaining provisions shall not be affected, and they shall continue in full force and effect.

Greenfield Livestock Partners Ltd reserves all rights not expressly granted under these Terms.
